Name and Purpose
- This organization shall be known as BayBreez Inc.
- The purpose of BayBreez Inc. is to enhance community well-being through holistic practices such as yoga, meditation, and art therapy, serving individuals of all ages in Southern Maryland.
Membership
- Membership is open to any individual who supports the center’s mission and objectives.
- Members have the right to attend open meetings, participate in programs, and vote in general membership meetings.
Board of Directors
- The Board shall consist of seven members, serving staggered terms (to be determined).
- Directors are responsible for overseeing the organization’s mission, financial sustainability, and strategic direction.
- The Board shall meet quarterly, with special meetings called as necessary.
Officers
- The officers of the organization shall be President, Vice President, Secretary, and Treasurer.
- Officers are elected by the Board of Directors annually and serve one-year terms.
Committees
- The Board may establish committees as needed, such as a Fundraising Committee, Programs Committee, and Volunteer Committee.
- Committee members are appointed by the President and approved by the Board.
Financial Administration
- The fiscal year shall begin on January 1 and end on December 31.
- The Treasurer will present a financial report at each Board meeting, and an annual budget will be approved by the Board.
Conflict of Interest
- Board members and officers must disclose any conflicts of interest and abstain from voting on related matters.
Indemnification
- BayBreez Inc. shall indemnify its Board members and officers to the fullest extent permitted by Maryland law.
Amendments
- Amendments to the bylaws can be proposed by any Board member and require a two-thirds majority vote for adoption.
Dissolution
- Upon dissolution, any remaining assets will be donated to another nonprofit with a similar mission, as decided by the Board.
Non-Discrimination
- BayBreez Inc. prohibits discrimination based on race, color, religion, gender, sexual orientation, age, national origin, or disability.
Parliamentary Authority
- The Presidents Rules of Order shall govern proceedings in cases not covered by these bylaws.
